Introduction and acceptance

These terms of service ("terms") govern your access to and use of the weldable platform and related services (collectively, the "service") provided by weldable, Inc. ("weldable", "we", "us", or "our").

By creating an account or using the service, you agree to be bound by these terms. If you are using the service on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

Description of service

weldable is a workflow orchestration platform that lets users define, run, and monitor automated workflows through a web interface. We provide managed infrastructure including compute, scheduling, and storage, so you do not need to operate your own infrastructure.

Eligibility

You must be at least 16 years old to use the service. By using the service, you represent that you meet this requirement. If you are using the service on behalf of an organization, you represent that you have the authority to enter into these terms on that organization's behalf.

Accounts

You are responsible for maintaining the security of your account credentials. Do not share your password with anyone. Notify us immediately at security@weldable.ai if you suspect unauthorized access to your account.

You are responsible for all activity that occurs under your account, whether or not you authorized it.

Beta service

The service is currently in private beta. This means:

• Features, APIs, and pricing are subject to change without notice
• We do not provide uptime guarantees or service level agreements during the beta period
• Data loss, though we work hard to prevent it, cannot be ruled out
• We may discontinue the beta at any time or restrict access to the service

We recommend not using the service for production workloads where data integrity or uptime is critical during the beta period.

Acceptable use

You agree not to use the service to:

• Violate any applicable law or regulation
• Infringe the intellectual property rights of any third party
• Transmit malicious code, viruses, or other harmful software
• Conduct denial-of-service attacks or other disruptive activities
• Scrape, mine, or harvest data from the service without our permission
• Attempt to gain unauthorized access to any part of the service or its infrastructure
• Use the service in a way that places excessive or unreasonable load on our infrastructure

We reserve the right to suspend or terminate accounts that violate these restrictions.

Your content and data

You retain ownership of all workflow definitions, data, and other content you create or upload to the service ("your content"). By using the service, you grant weldable a limited license to store, process, and transmit your content solely to the extent necessary to operate and provide the service.

We do not use your content to train machine learning models or share it with third parties except as described in our privacy policy.

You are responsible for ensuring that your content and your use of the service complies with applicable laws and does not violate the rights of any third party.

Intellectual property

The weldable service, including its software, design, and documentation, is owned by weldable, Inc. and protected by applicable intellectual property laws. These terms do not grant you any rights to use our trademarks, logos, or brand assets.

If you provide feedback or suggestions about the service, you grant us the right to use that feedback without restriction or compensation.

Payment and pricing

The service is free during the beta period. We will provide at least 30 days notice before introducing paid plans or charging for features that are currently free.

Pricing, plans, and billing terms for the generally available product have not been finalized and will be communicated separately.

Termination

You may stop using the service and delete your account at any time by contacting us at support@weldable.ai.

We may suspend or terminate your access to the service at any time, with or without notice, for conduct that we determine in our sole discretion violates these terms or is harmful to other users, us, or third parties.

Upon termination, your right to use the service ceases immediately. Provisions of these terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, and limitations of liability.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WELDABLE DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the service will be uninterrupted, error-free, or free of harmful components, or that any data you transmit will be secure.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WELDABLE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN NO EVENT WILL WELDABLE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO WELDABLE IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless weldable and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of your use of the service, your content, or your violation of these terms.

Governing law and disputes

These terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising from these terms or your use of the service will be resolved in the state or federal courts located in Delaware, and you consent to the jurisdiction of those courts.

Before filing a formal legal claim, we encourage you to contact us at legal@weldable.ai to seek an informal resolution.

Changes to terms

We may update these terms from time to time. When we do, we will update the "last updated" date at the top of this page. For material changes, we will notify registered users by email at least 14 days before the change takes effect. Continued use of the service after the effective date constitutes acceptance of the updated terms.

Severability and general provisions

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect. These terms constitute the entire agreement between you and weldable with respect to the service and supersede any prior agreements.

Our failure to enforce any right or provision of these terms does not constitute a waiver of that right or provision.
